These Terms of Service ("Terms") govern your access to and use of Repflection's website, services, and content. By using our services or website, you agree to be bound by these Terms.
1. Services
Repflection provides online reputation management services including, but not limited to, reputation audits, search result management, content removal requests, content suppression, personal branding, crisis response, and related advisory services. Specific deliverables for each engagement will be set out in a separate proposal or service agreement.
2. Engagement and fees
Each engagement is quoted individually. Your engagement with us is governed by a proposal or service agreement accepted in writing, which sets out the scope of work, fees, payment schedule, term, and any renewal and cancellation arrangements.
3. Client responsibilities
You agree to:
- Provide accurate, complete, and timely information needed for us to deliver our services.
- Not request services that would require us to act unlawfully, defamatorily, or unethically.
- Not impersonate another person or hold yourself out as authorised to act on someone else's behalf without proper authority.
- Pay invoices when due.
4. What we will not do
Ethics are foundational to our work. We will not:
- Post fake reviews or fabricate testimonials.
- Use defamation, harassment, or unlawful tactics against third parties.
- Engage in black-hat SEO, link spam, or techniques that violate search engine guidelines.
- Help suppress lawfully published content where there is a clear public interest in its visibility.
We reserve the right to decline or terminate engagements that, in our judgment, would require us to depart from these principles.
5. Confidentiality
Client engagements are treated as confidential by default. We will not disclose your identity or engagement details without your consent, except where required by law. We are happy to sign a Non-Disclosure Agreement on request.
6. Realistic expectations
Reputation management deals with third-party platforms, search engines, and content publishers over which we have influence but not control. We commit to using our best professional judgment and effort, but we cannot guarantee specific search rankings, removal outcomes, or timelines, particularly where third-party cooperation is required.
7. Intellectual property
Strategic frameworks, processes, methodologies, and reporting templates we use remain our intellectual property. Content created specifically for you (e.g. articles, profile copy, websites) becomes yours upon full payment for that work. The Repflection name, logo, and website design remain our property.
8. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to our services is limited to the fees you have paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, or loss of profits, business, or reputation.
Nothing in these Terms excludes liability that cannot be excluded by law.
9. Termination
Subject to any minimum term set out in your proposal, either party may terminate the engagement with seven days' written notice. We may terminate immediately if you breach these Terms materially, fail to pay invoices when due, or request services that violate Section 3.
10. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws of your home jurisdiction apply.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Continued use of our services after a change constitutes acceptance of the new Terms.
